Store shall be settled by binding arbitration in Summit County, Ohio in accordance with the American Arbitration Association's commercial arbitration rules. Any such claim shall be arbitrated on an individual basis, not consolidated with another party's claim. Judgment on the arbitration award may be entered into any court with jurisdiction, and the arbitrator's award shall not be appealable or reviewable except as permitted by Ohio law. However, (a) each of us may seek interim relief from a Summit County, Ohio court to protect the party's rights or property while arbitration is pending, and (b) at our option, we may bypass arbitration in cases of fraud or other crimes against us, interference with our technical operations or violations of our rights or property. Terms of Sale Both you, the Customer and Port Place agree that the purchase and sales of hardware and software products ("the Products") through the use of this Yahoo! Store are made under Port-Place General Terms and Conditions of Sale in effect at the time of such purchase, and that Port-Place SHALL NOT BE BOUND BY CUSTOMER'S ADDITIONAL OR DIFFERENT TERMS. Customer's order and purchase of the Products via the Yahoo! Store shall constitute acceptance of these terms and conditions. PORT PLACE GENERAL TERMS AND CONDITIONS OF SALE These General Terms and Conditions of sale, together with any specific provisions set forth in the Express price quote, purchase order, or invoice describing your purchase, contains the entire agreement applicable to purchases of products and services from Port Place. By accepting delivery of the products and/or services described in the price quote, purchase order, or invoice, you ("Customer") accept and agree to be bound by these terms and conditions. These terms and conditions are subject to change without prior written notice at any time, in Port Place's sole discretion. These terms and conditions may not be altered, supplemented, or amended by the use of any other documents, except as otherwise noted. Any attempt to alter, supplement or amend this document or to enter an order for products or services that are subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by Port-Place. Online Orders All orders are subject to acceptance and verification by Port-Place. Port-Place booking of an order placed through the Yahoo! Store shall constitute its acceptance of the order, and an email will be sent to the Customer confirming this order. Port-Place reserves the right to verify any order placed on the Port-Place website before confirming and/or shipping the order. At the sole discretion of Port-Place a customer may be required to confirm an order via telephone before the order is accepted and booked. NO ORDER IS OFFICIALLY ACCEPTED BY PORT-PLACE UNTIL A CONFIRMING EMAIL IS SENT TO CUSTOMER OR THE PRODUCTS ARE SHIPPED TO CUSTOMER, WHICHEVER SHALL OCCUR FIRST. Prices and Payment All prices are subject to change without notice. Unless otherwise stated on the quotation, any price quotation will expire thirty (30) days from date of issuance. Stenographic or clerical errors are subject to correction. All purchases are to be made in US dollars. Customer will make payment in full prior to delivery by credit card. In the event of any order for multiple units, each unit(s) will be invoiced when shipped. Customer is responsible for all shipping charges. Orders are entered and accepted through the Yahoo! Store by Port-Place as soon after they are received from Customer as possible. However, Port-Place is not responsible, and will not be held liable for, any shipment delays or for any damages which may result from said delays. Claims for shipment shortage shall be deemed waived unless presented to Express Systems and Peripherals in writing within forty-five (45) days of shipment. Taxes Product prices are exclusive of, and Customer shall pay, applicable sales, use, service, value added or like taxes. Title Risk of loss or damage and title to the Products shall pass to Customer at the FOB shipping point of Port-Place. Notwithstanding the foregoing, Port-Place retains a security interest and right of possession in the Products until Customer makes full payment. Port Place Return Policy Port-Place accepts product returns within 30 days of the invoice date. After 30 days, product must be returned to the manufacturer (Quatech). Open software can not, under any circumstances, be returned for a refund. Defective software can be returned in its original packaging, for a replacement only, within the initial 30 days after purchase. To return a product to Port-Place, you must obtain a Return Authorization number from our Customer Service department by filling out our RMA Form. We will need the following information to issue the RMA number: Your Name/Company Name Account Number Invoice or Order Number Item Number and Quantity Serial Number Reason for Return Shipping Guidelines After you receive the RMA number, ship the product to us at: Port-Place RMA# _______________ 5675 Hudson Industrial Parkway Hudson, Oh 44236 Products must include all components, accessories, cables, software, and manuals in the original shipment Package returns to prevent damage during shipping (use original packaging when possible) All returns must have an RMA number referenced on the shipping label as shown above. Returns must be received by Port-Place within 30 days from the date the RMA number is issued. Product replacements will be shipped to you via UPS Ground at no charge. If you would like a different shipping method used, your account will be billed for the shipping cost. Defective or DOA Products Port-Place understands how exasperating it is to receive a DOA product. Subject to the manufacturer's warranty requirements and restrictions, we will credit your account for any defective product returned to us within 45 days of the invoice date. Defective products must be returned in the manufacturer's original packaging. The carton must include all components and other items originally packaged with the product including cables, software, and manuals. You must obtain an RMA number from customer service before you return any defective or DOA products. At your request we can ship out a replacement product at no charge via UPS ground. Express carrier freight service charges for replacement product will be charged to the customer.
